1) Agreement to Terms

By accessing the NorthStar 3PL website, submitting a quote request, or otherwise interacting with us online, you agree to these Terms. If you enter into a separate Master Services Agreement (MSA) with us, that agreement will control for the covered services.

2) Services & Quotes

Descriptions of services on this site (e.g., warehousing, fulfillment, freight) are for general information only. Quotes are estimates based on the information you provide and are subject to change after verification of products, volumes, service levels, accessorials, carrier rates, and other operational variables. Any service work will be governed by the applicable MSA, work order, or statement of work.

3) Your Responsibilities

• Provide accurate and complete information in all forms and communications.
• Comply with applicable laws and shipping regulations (including restrictions on hazardous, illegal, counterfeit, or otherwise prohibited goods).
• Ensure proper packaging, labeling, and documentation for inbound and outbound shipments as specified in the MSA or operating procedures.

4) Intellectual Property

All content on this site—including text, graphics, logos, and design elements—is owned by or licensed to NorthStar 3PL and is protected by applicable laws. You may not copy, modify, or distribute site content without permission.

5) Acceptable Use

You agree not to misuse the site, attempt unauthorized access, interfere with its operation, or use it in a way that violates law or infringes rights.

6) Disclaimers

The website and its content are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that the site will be error-free or uninterrupted.

7) Limitation of Liability

To the maximum extent permitted by law, NorthStar 3PL will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities arising from or related to your use of the site. For service-related liability, see the applicable MSA.

8) Indemnification

You agree to indemnify and hold NorthStar 3PL and its personnel harmless from any claims, damages, or expenses arising from your use of the site or your violation of these Terms.

9) Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflicts of laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any dispute not subject to another agreement between us.

10) Changes

We may update these Terms from time to time. The “Effective date” will be revised when changes are made. Your continued use of the site constitutes acceptance of the updated Terms.
